However, DNA will no longer publish stock exchange releases, information about general meetings or official financial reports, such as consolidated financial statements. Old publications have been archived in to a public archive. Telenor Finland Holding Oy, the sole shareholder of DNA Plc, has decided to make the decisions related to the composition of the Board of Directors, which belong to the Extraordinary General Meeting, without holding a General Meeting. The decisions are being made legally in accordance with the Companies Act Chapter 5 Section 1.

Mette Eistrøm Krüger will move to position outside the Telenor Group and resigned from her position as a member of the Board of Directors of DNA Plc as of 17 February 2025. Elisabeth Melander Stene has been chosen as a member of the Board of Directors of DNA as of 17 February 2025.

Jon Omund Revhaug, Chair of the Board of Directors of DNA Plc, resigned from his position as the Chair as of 1 April 2025, as he moves within the Telenor Group from helm of Telenor Nordics to helm of Telenor Asia. Sigvart Voss Eriksen, who will take over as the helm of Telenor Nordics, has been chosen Chair of the Board of Directors of DNA with effect from 1 April 2025.

Thomas Thyholdt will continue as a member of the Board. The total number of Board members will remain at three.

DNA PLC STOCK EXCHANGE RELEASE 7 JANUARY 2025 AT 17:00 EET

DNA Plc's Finnish network infrastructure business, which is conducted by the company's subsidiary DNA Tower Finland Oy, has been transferred to Telenor Towers Finland Oy, a limited company established in the partial demerger of DNA, as of 1 January 2025. The change has also been registered in the Finnish Trade Register.

The arrangement was approved by DNA's shareholder on 13 November 2024, which was already announced by DNA on the date of approval.

This is an internal restructuring within Telenor Group and will not impact DNA’s operations.

18 DECEMBER 2024, 11:00 am EET DNA Plc’s disclosure obligation is coming to an end: Financial information and Annual General Meeting in 2025

The bond issued by DNA Plc (ISIN: FI4000312095), listed on Nasdaq Helsinki, matures on 27 March 2025 at the latest. As DNA is only subject to the disclosure obligation in relation to this maturing bond, the disclosure obligation will end at the maturity of the bond. For this reason, DNA will not publish its own financial statements for 2024 and therefore no financial statements bulletin, either.

DNA's official financial figures for 2024 will be published as part of the stock exchange reporting of its parent company, the Norwegian communications services group Telenor ASA. Telenor ASA will publish its financial statements on 6 February 2025 and its annual report, including the financial statements, on 20 March 2025.

DNA will continue as usual to communicate its current events through press releases after the end of the disclosure obligation. This will include the company's key performance and sustainability information. All official DNA figures are reported as part of the parent company's reporting.

There will be no Annual General Meeting of DNA before the bond matures.

CEO’s review

DNA’s financial figures for the period indicate that our business has developed favourably. Our total revenues grew by 5% year-on-year and amounted to EUR 539 million (513). EBITDA increased by 11% to EUR 209 million (189). The operating result increased by 18% and was EUR 109 million (93). The number of mobile network subscriptions increased on the comparison period and stood at 2,788,000 subscriptions (2,742,000), while their ARPU rose to EUR 19.1 (17.8). The number of fixed broadband subscriptions also increased on the comparison period and stood at 688,000 subscriptions (659,000), while their ARPU rose to EUR 16.6 (16.3). The number of TV subscriptions decreased as expected.

At the end of June, DNA’s 5G network had a population coverage of almost 98%. Long-term efforts to upgrade our network are also reflected in increased data speeds on 4G services. However, mobile network developments are increasingly focused on 5G technology, and the first 5.5G-based services will soon be coming onto the market.  DNA already piloted 5.5G technology for the media at the end of last year, reaching data speeds of up to 10 gigabits per second in its commercial network.  In the spring, DNA was also the first operator in Finland to launch two gigabit broadband subscriptions in the fixed broadband network, cable broadband and Ethernet technology. There is a need for speed, as the amount of data being used is constantly increasing.

Finns still need to brush up on their information security skills. According to a recent survey that we commissioned3), only 54% of Finns feel that they are sufficiently knowledgable about data security threats. Another survey4) shows that Finnish companies are also inadequately prepared for cyber threats. At DNA, we consider improving cyber resilience to be a common challenge for everyone in Finland. Our parent company, Telenor, announced the establishment of a new Nordic company, Telenor Cyberdefence, in June. This will create opportunities to further expand our cybersecurity offering.

We have also been actively revising our brand strategy in 2024. DNA is an attitude brand that dares to challenge, experiment and care. A strong brand also makes us stand out from our competitors – a strong brand’s most important task is to make it easier to decide what to buy. I am sure that our brand’s key message, dare, will be visible to our customers in many ways during the course of the year.

In May and June, DNA has also been highlighting a topic that is personally important to me: humane leadership. In podcasts on this topic, I invited leading experts from a number of fields to share their insights and ideas. The goal was to spark off public debate and promote more human leadership at all organisational levels. The podcast project is also an excellent reflection of DNA’s corporate culture, which is centred on our employer promise of a humane and one-of-a-kind workplace.

When it comes to DNA’s operating environment, it is important to note that the Finnish economy is still in recession, even though the Bank of Finland’s June forecast predicted that a slow recovery is on the horizon5⁾. Inflation has clearly slowed down, and the resulting improvement in household purchasing power will help private consumption to recover. However, the wars in Ukraine and Gaza continue to cause global uncertainty that is also being reflected in Finland. DNA has prepared for both changes in the geopolitical situation and a rise in influence operations, data breaches and sabotage attempts fuelled by growing unrest.

It is with great sadness that we have been informed that Jørgen C. Arentz Rostrup, Head of Telenor Nordics and Chairman of DNA Board of Directors has passed away after a sudden and unexpected illness on Saturday the 22nd June.

We are grateful for his significant contributions to DNA during his chairmanship from October 2019 to March 2021 and again from October 2023 onwards. 

As of today, Jon Omund Revhaug has been appointed acting head of Telenor Nordics. He will also be appointed as Chair of DNA Board of Directors as soon as possible. Revhaug is currently COO (Chief Operating Officer) in Telenor Nordics, responsible for technology, IT and shared services across the Nordic region.

20 MAY 2024 AT 10:00 EEST DNA Plc: Changes in Executive Team

DNA Plc’s SVP, Corporate Affairs (CCAO) and member of the Executive Team, Asta Rantanen, will retire effective 31 July. Master of Laws Vesa Vuoti has been appointed as her successor and member of DNA’s Executive Team as of 1 August. Vuoti has had a long career at DNA in a number of roles, most recently as VP, Legal and Regulatory Affairs. Previously, he has served as Director of Administration and Security, among others.

Ph.D., CIO Sari Leppänen is appointed CTO for DNA. Since the beginning of May, she has temporarily managed that position alongside her own work after the previous CTO Ville Virtanen transferred to DNA’s parent company, Telenor. In addition to the new role, Leppänen will continue as the CIO for DNA.


“I would like to thank Asta Rantanen for her great work at DNA over the past twenty years, first in several legal roles and later also as SVP of Corporate Affairs. Asta has developed DNA’s corporate governance policies remarkably and has taken care of the superiority of our various policies and procedures. DNA Plc’s Chief Technical Officer (CTO) and member of the Executive Team, Ville Virtanen (eMBA, B. Eng.), will leave his position and his seat in DNA's Executive Team on 30 April 2024 to join DNA’s parent company Telenor, the Norwegian telecommunications group. In his new role, he will serve as SVP Nordic Technology Transformation of Telenor Nordics, which is Telenor's umbrella organization in Nordics region.

The search for a new CTO for DNA will start immediately.

Mr. Virtanen has more than 20 years of experience at DNA. Before taking the role of CTO in autumn 2021, he was heading the Core and IP Networks unit.

"Over the past years, Ville's extensive knowledge of various network technologies has been the key to DNA's development of its technical capabilities, for example transition to the era of high-speed 5G in its mobile networks. At the heart of Ville's actions has always been the question of which technical solutions enable the best customer experience. 22 MARCH 2024, 11:00 am EET DNA Plc: Decisions of DNA Plc's shareholder on matters belonging to the Annual General Meeting

DNA Plc's sole shareholder, Telenor Finland Holding Oy, has decided to make decisions belonging to the Annual General Meeting (AGM) without holding the AGM in accordance with the Companies Act Chapter 5 Section 1.

It was decided to approve the consolidated financial statements and the parent company's financial statements for the financial period 1 January to 31 December 2023. It was noted that the Board of Directors had proposed to the AGM that the company distribute a dividend of EUR 0.46 per share for the financial year 2023. Based on the number of shares on December 31, 2023, a total dividend of EUR 60,803,804.64 will be distributed. The Board had also proposed that the remaining portion of the distributable funds be retained in equity. The Board's proposal to use the distributable funds shown in the balance sheet was approved.

It was resolved to discharge the Board of Directors and the CEO from liability regarding the financial year from 1 January to 31 December 2023.

It was decided that the number of the Members of the Board of Directors will be three. Jørgen C. Arentz Rostrup will continue as the Chair of the Board and Mette Eistrøm Krüger and Thomas Thyholdt as the Members of the Board. The Board Members shall not be paid remuneration.

It was resolved to choose Authorised Public Accountants Ernst & Young Oy as the DNA Plc’s auditor. APA Mikko Järventausta will act as the Principal Auditor.

CEO’s review

DNA's financial figures for 2023 indicate that our business has developed favourably. DNA exceeded the one billion milestone for full-year total revenues for the first time ever when year-on-year total revenues grew by 7% to EUR 1,067 million (997). EBITDA increased by 7% to EUR 390 million (364), and the operating result rose by 25% to EUR 200 million (160). The number of mobile subscriptions increased on the comparison period and stood at 2,758,000 (2,750,000), while their ARPU increased to EUR 18.2 (17.4). The number of fixed broadband subscriptions increased on the comparison period and stood at 674,000 (642,000), while their ARPU increased to EUR 16.5 (16.4). The number of fixed telephony and TV subscriptions fell as expected.

DNA’s growth as the fixed-network broadband market leader has continued, and demand for 5G services has accelerated. By the spring, DNA had already risen to second place in the Finnish mobile network subscription market. Our success is based on an excellent customer experience in high-quality networks and uncomplicated service at all stages of the customer relationship. In the autumn, DNA took the top spot for customer satisfaction among Finnish mobile operators in the EPSI Rating study. In December, we gave the media a demonstration of the capabilities of forthcoming 5.5G technology – such as download speeds of more than 10 gigabytes. The population coverage of our 5G network stood at 94% by the end of the year.

DNA won the Finnish Quality Award in November. This award is based on a thorough assessment of an organisation's operations by a group of independent experts using the international EFQM model. The assessment team praised our customer-driven approach and the successful implementation of our strategic plan in particular. Our personnel's commitment to DNA's values is reflected in our operations. So the biggest thanks for this award go to DNA personnel, who do top-quality work for our customers every day.

At DNA, we believe that employees are a company's most important asset. Humane leadership and a people-centric working environment enable better engagement, peak performance and creativity. In November, DNA achieved a second place in the People-centric Workplace Community category of Hälsa's HumanPower23 competition. Freedom, responsibility and trust are permanent aspects of DNA’s culture.

However, 2023 was overshadowed by uncertainty both in our market and the world in general. In December, the Bank of Finland announced3) that the Finnish economy was in recession and would not begin to recover until the end of 2024. High inflation eroded consumers' purchasing power during 2023 and the most common reference interest rates remained high, which has in turn led to uncertainty in DNA's economic outlook. However, lower inflation and a potential fall in interest rates will improve household purchasing power, creating opportunities for economic recovery in the medium term.

In the autumn, damage to a gas pipeline and submarine cable was reported in the Baltic Sea. These events reminded us that Finland must be prepared for external sabotage. We must remain fully operational under all circumstances. DNA has engaged in long-term, systematic efforts to safeguard both domestic and international connections. We have several mutually reinforcing sea and land connections and, if necessary, satellite connections. We have also raised preparedness level through technical and administrative means.

Telenor Finland Holding Oy, the sole shareholder of DNA Plc, has decided to make the decisions related to the composition of the Board of Directors, which belong to the Extraordinary General Meeting, without holding a General Meeting. The decisions are being made legally in accordance with the Companies Act Chapter 5 Section 1.

It was decided to keep the size of the Board of Directors of DNA Plc at three persons. Jørgen C. Arentz Rostrup will continue as the Chair of the Board. Thomas Thyhold will continue as a Member of the Board. Mette Eistrøm Krüger has been chosen as the new Member of the Board with effect from 1 January 2024.

The decisions are valid from 1 January 2024.

The Chair of the Board of Directors of DNA Plc changes. Petter-Børre Furberg will step down from the Board as of 1 October 2023. On 29 September 2023, DNA's sole shareholder has decided to elect Jørgen C. Arentz Rostrup as the new Chair of the Board without holding an Extraordinary General Meeting.

DNA's parent company Telenor Group announced in August that it had appointed Jørgen C. Arentz Rostrup, who led Telenor Asia, as Head of Telenor Nordics and Petter-Børre Furberg, who led Telenor Nordics, as Head of Telenor Asia.

As part of his new role, Jørgen C. Arentz Rostrup will take over as Chair of the DNA Board starting from 1 October 2023. He has also previously held this position from October 2019 to March 2021.

Thomas Thyholdt and Cecilie Heuch will continue as members of the Board.

CEO’s review

DNA’s financial figures for January–June 2023 indicate that our business has developed favourably. Our total revenues grew 6% year-on-year and amounted to EUR 513 million (483), EBITDA increased 3% and was EUR 189 million (184) and our operating result increased 13% to EUR 93 million (82). The number of mobile subscriptions increased by 23,000 year-on-year, and their ARPU increased to EUR 17.8 (17.2). The number of fixed-network broadband subscriptions increased by 39,000 on the comparison period, but their ARPU decreased to EUR 16.3 (16.5). The number of fixed telephony and TV subscriptions fell as expected. Inflation also contributed positively to the development of revenues, even though it was not possible to pass the rapid increase of energy and wholesale prices on to the prices of DNA’s services.

DNA’s growth as the fixed-network broadband market leader has continued, and demand for 5G services has further accelerated. Demand has also been driven by our expanding 5G network, which covered almost 90% of the population at the end of June. In the spring, DNA rose to an historic second place in the mobile phone network subscription market, measured by the number of subscriptions. Our long-term success is based on an excellent customer experience in high-quality networks and uncomplicated service at all stages of the customer relationship.

DNA implemented its updated strategy during the first half of the year. We aim to have the most satisfied customers in the market and provide the best possible customer experience. As in previous years, we also aim to achieve faster than average market growth. We will contribute to the development of our society by constructing important network infrastructure, promoting digital inclusion, and connecting Finns to what matters most to them. In early July – that is, immediately after the end of the review period – we announced that DNA had made a significant investment in the domestic production of green energy by signing a ten-year purchase agreement for Finnish wind power. This purchase agreement will help us reach our ambitious net-zero emissions target in accordance with the Science Based Targets framework.

One of our strategic objectives is to be the best place to work and learn. Freedom, responsibility, and trust are a permanent part of our working culture at DNA. Our employees can choose freely where, when and how they work as long as their position allows it. We also focus on supporting coping at work. This is the focus of our new office strategy, which is why we have chosen Ilmalanlinna as the location for DNA’s new head office. These premises in Ilmala, Helsinki have been designed to be inspiring, support wellbeing and encourage collaboration. We will move from Käpylä to Ilmala in summer 2024. Personnel’s wishes have highlighted a need to strengthen our sense of community, and the new office is a step in this direction.

In spite of DNA’s favourable result, it should be noted that the first half of 2023 was still overshadowed by general uncertainty both globally and in the market. According to the Bank of Finland’s June forecast3), the Finnish economy is expected to contract in 2023. High inflation – and the rise of energy prices in particular – combined with higher reference interest rates have eroded consumers’ purchasing power and increased business costs. Although the Bank of Finland expects a slight upswing in the current shallow recession during 2024, the recession may still have an impact on DNA’s business.

Timo Kipinoinen, M.Sc. (Econ.), has been appointed DNA’s CFO and Sari Leppänen, PhD, has been appointed DNA’s CIO. Both will also serve as members of DNA’s Executive Team and report to the CEO.

Timo Kipinoinen will take up his position as CFO from the beginning of May 2023. He has served as acting CFO and member of the Executive Team since October 2022. Kipinoinen has worked at DNA since 2019 as Senior Business Controller for the Consumer Business. He also has a long work history at Nordea in various financial management positions.

"Kipinoinen is a long-standing professional with solid financial experience. His people-oriented management style fits perfectly into the work culture of DNA and he has done excellent job as acting CFO over the past six months. It is a pleasure to appoint him on a permanent basis", says DNA’s CEO Jussi Tolvanen.

DNA Plc's sole shareholder, Telenor Finland Holding Oy, has decided to make decisions belonging to the Annual General Meeting without holding the Annual General Meeting. The decisions have been made legally, in accordance with the Companies Act Chapter 5 Section 1.

It was decided to approve the consolidated financial statements and the parent company's financial statements for the financial period 1 January to 31 December 2022. It was noted that the Board of Directors had proposed to the Annual General Meeting that the company distribute a dividend of EUR 0.76 per share for the financial year 2022. Based on the number of shares on December 31, 2022, a total dividend of EUR 100,458,459.84 will be distributed. The Board had also proposed that the remaining portion of the distributable funds be retained in equity. The Board's proposal to use the distributable funds shown in the balance sheet was approved.

It was resolved to discharge the Board of Directors and the CEO from liability regarding the financial year from 1 January 2022 to 31 December 2022. Discharge applies to the members listed below during the terms of office listed below:

As of 1 March 2023, Vesa Savolainen, VP, Business Support Systems and Customer Relationship Management, is serving as the acting CIO and a member of the Executive Team.

The recruitment process for a new permanent CIO is still ongoing.

CEO’s review

Year 2022 will be remembered as a period of great uncertainty in the Finnish operating environment. The war against Ukraine that Russia started in February caused global uncertainty, clouding the economic outlook in Finland as well. Inflation has picked up speed in all of Europe and is biting into consumers’ pur-chasing power also in Finland, and the sharp rise of the most common reference rates continued towards the end of the year. According to the economic forecast published by the Bank of Finland in December3), while economic growth picked up in the early part of 2022, Finnish economy will slide into a mild recession in 2023 as a result of the energy crisis exacerbated by Russia’s war in Ukraine and the surge in the cost of living.

DNA’s January–December figures show that our business has developed steadily. Our total revenues grew 4% year-on-year and amounted to EUR 997 million (956), EBITDA increased 2% and was 364 million (359), and operating result increased 4% to EUR 160 million (154). Exceptionally high price inflation and rising energy prices had a negative impact on DNA’s result. It was not possible to pass the rapid increase of energy and wholesale prices on to the prices of DNA’s services. At the same time, DNA has continued big investments into the construction of its 5G network as well as fibre optic networks and transmission systems.

The number of mobile subscriptions increased by 51,000 year-on-year, and their ARPU increased to EUR 17.4 (17.1). The number of fixed broadband subscriptions increased by 39,000 from the comparison period, and their ARPU increased to EUR 16.4 (16.3). DNA’s growth as the fixed-network market leader has contin-ued, and the demand for 5G services is also accelerating. To date, we have already sold hundreds of thou-sands of 5G subscriptions. Eight of the ten most popular phone models sold by DNA in 2022 were 5G-capable. Demand was also driven by our quickly expanding and fast 5G network, which reached 80% of the population at the end of the year.

We also clarified our strategy in 2022, and as part of that work, redefined our key role in the society as a provider of important communication connections. High-quality connections and devices that are easy to deploy and use, as well as digital skills and inclusion are a necessity for making our consumer and corpo-rate customers’ lives less complicated in the digital world. DNA is responsible for providing network con-nections and services to millions, and we want to do it well. By doing that, we can maintain high customer experience.

While the lifting of the national remote working recommendation in early 2022 increased the utilisation rate of DNA’s offices, it remains far short of pre-pandemic figures. As a rule, our employees can continue to choose freely where and how they work because freedom, responsibility, and trust are a permanent part of the working culture at DNA. Alongside these themes we have placed more emphasis on the im-portance of being a humane place to work, which was one of the most important themes in terms of per-sonnel’s working ability in 2022. As one of the concrete actions to promote a more humane approach, we published our employer promise in June, promising to support every employee to live a humane and one-of-a-kind life. Anna-Mari Ylihurula, M.Sc. (Technology), eMBA, has been appointed DNA’s Senior Vice President, Corporate Business, and a member of the Executive Team.

Anna-Mari Ylihurula will start in her new position by August 2023. She moves to DNA from Elisa, where she has had a long career in corporate business management positions, most recently as Vice President, Customer Operations, in Elisa Corporate Customers business.

In her new role, Ylihurula is responsible for DNA's corporate business and its development. She reports to DNA's CEO.

M.Sc. (Econ) Timo Kipinoinen has worked at DNA since 2019. Before that he worked at Nordea for a long period in many varied financial management duties.

Maria Strömberg has worked at DNA since 2007 and in her current post since the beginning of 2021. She will continue to work at DNA in other duties after first taking three months off.

DNA will commence a search for a new CFO during the rest of this year.

Jukka Leinonen will leave his position in the company’s Board of Directors on 13 September 2022.  DNA's sole shareowner has decided on 13 September 2022 to choose Petter-Børre Furberg as the new Chair of the Board of Directors without holding an Extraordinary General Meeting.

Jukka Leinonen retired from his post as the Head of Telenor Group’s Nordics operations (EVP Nordic Cluster) on 30 June 2022 but until now he has continued as the Chair of DNA’s Board of Directors.

“I thank Jukka for his fantastic work for DNA. His contribution over the years has been remarkable, first as the leader of the company’s corporate business, then as a long-term CEO and for the past year as the Chair of the Board of Directors. During his tenure DNA has grown into a strong, successful company a particular strength of which is a working culture based on trust and freedom. CEO’s review

At the end of the first half of 2022, the operating environment had become more unstable. Russia’s war against Ukraine has caused global uncertainty since February, clouding the economic outlook in Finland as well. Inflation has picked up speed and is already biting into consumers’ purchasing power, and the most common loan reference rates have started rising steeply. In June, the Bank of Finland estimated that the war in Ukraine will slow down economic growth in Finland, weaken the outlook and increase uncertainty in the global economy. All of this may also impact DNA’s economic outlook.

DNA’s financial key figures for January–June 2022 indicate that our business has nevertheless continued to develop steadily. Total revenues grew 1% year-on-year and amounted to EUR 483 million (476), EBITDA remained stable and was EUR 184 million (183) and operating result was up 1% to EUR 82 million (81). The slowdown in growth is attributable to a year-on-year rise in the costs of sales, 5G construction, Group services and energy.

The number of mobile subscriptions increased by 24,000 year-on-year, and their ARPU increased to EUR 17.2 (17.0). The number of fixed broadband subscriptions increased by 30,000 from the comparison period, and their ARPU rose to EUR 16.5 (16.1). DNA has continued to grow as the fixed-network market leader.

Demand for 5G services remained strong. During the first half of the year, almost 80% of all the phones sold by DNA were already 5G-capable, as compared to just over 50% in January–June 2021. Demand was also driven by our expanding 5G network, which reached as much as 70% of the population at the end of the period. The significant boost to mobile data speeds made possible by 5G was clearly visible in the measurement Omnitele3) published in April. In some cases, download speeds in DNA’s mobile network have increased by tenfold over the past four years.

Finland ended almost all of its coronavirus restrictions in January–June. The lifting of the national remote working recommendation in the early part of the year has increased the utilisation rate of DNA’s offices as well, even though it remains far short of pre-pandemic figures. Going forward, DNA’s employees can continue to choose freely where and how they work, and in the spring and early summer they typically visited the office only 0 to 2 times a week. DNA has found that giving employees the freedom to choose how and where they work yields high productivity and greater job satisfaction. In the near future, DNA intends to increase and enhance work flexibility even further.

DNA Plc's sole shareholder, Telenor Finland Holding Oy, has decided to make decisions belonging to the Annual General Meeting without holding the Annual General Meeting. The decisions have been made legally, in accordance with the Companies Act Chapter 5 Section 1.

It was decided to approve the consolidated financial statements and the parent company's financial statements for the financial period 1 January to 31 December 2021. It was noted that the Board of Directors had proposed to the Annual General Meeting that the company distribute a dividend of EUR 1.52 per share for the financial year 2021. Based on the number of shares on December 31, 2021, a total dividend of EUR 200,916,919.68 will be distributed. The Board had also proposed that the remaining portion of the distributable funds be retained in equity. The Board's proposal to use the distributable funds shown in the balance sheet was approved.

It was resolved to discharge the Board of Directors and the CEO from liability regarding the financial year from 1 January 2021 to 31 December 2021. Discharge applies to the members listed below during the terms of office listed below:

The members of the board are independent of the company but non-independent of Telenor Group. The Board Members shall not be paid remuneration.

Bjørn Taale Sandberg, 57 has been named DNA Plc’s Chief Strategy Officer (CSO) and a member of the Executive Team. He will start in his new position on 1 April 2022.

Sandberg is taking up the post after acting as the SVP, Head of Research of DNA’s parent company Telenor ASA. Sandberg holds master’s degrees in Computer Science and Management. Sandberg has been with Telenor since 2000 and has held senior director positions in the Group and other Telenor operating companies.

In his new role, Sandberg will work closely with DNA’s CEO and as an internal key advisor to the Executive Team. The key role of DNA’s CSO includes the maintenance, implementation and development of DNA's strategy and also corporate advocacy duties.

Sandberg reports to the CEO of DNA. He succeeds Christoffer von Schantz, who took over as a Vice President of DNA’s broadband and TV business late last year.

“Bjørn Taale has really extensive experience from the industry in terms of business management, strategy, technology and future research. He also has an excellent attitude and a desire to constantly develop. I believe that Bjørn Taale will bring new kind of expertise and insight to the management team, which will help DNA to remain successful also in the future”, says DNA’s CEO Jussi Tolvanen.

Key figures

The calculation method of the key figures presented in this table differs from that of DNA’s previous key figures. The figures in this table are presented the same way as the figures published by DNA’s parent company Telenor ASA. The main changes concern the reclassification of spectrum acquisitions from intangible assets to right-of-use assets and the corresponding reclassification of spectrum license liabilities from non-interest-bearing to interest-bearing borrowings, which has an impact on the presentation of net debt and cash flows. In addition, some receivables have been reclassified from non-current to current items, and certain items reclassified from current to non-current receivables. Figures for the reference periods have been adjusted accordingly.

CEO’s review

Having taken the helm of DNA last autumn, I am happy to have the opportunity to discuss positive and stable growth figures for the whole of 2021. The positive development also signals the critical role DNA plays in the Finnish society as a service provider and enabler of success. The prolonged pandemic has underpinned the importance of our role in a society, which would have come to a halt without secure modern network connections and cloud- based communications solutions.

Our total revenues increased by 3% and amounted to EUR 956 million (932) in 2021. Our mobile revenues were also up by 2% and amounted to EUR 565 million (552). DNA’s EBITDA developed well in 2021, growing 8% to EUR 359 million (333). Our operating result also increased and amounted to EUR 154 million (151), up 2% from 2020.

Our mobile communication subscription base increased by 5,000. At the same time, our average revenue per user (ARPU) increased to EUR 17.1 (16.8). The total number of fixed subscriptions decreased by 9,000. While the number of fixed voice and TV subscriptions decreased, the number of fixed broadband subscription grew by 19,000. As a result of the growth, we announced in May that DNA had become the leader of the fixed-network broadband market, and the lead has since increased7).

Sales of 5G subscriptions gained clear momentum during 2021. This was reflected in the sales of 5G phones, which increased four-fold. This development was driven by the quick construction of our 5G network, which reached approximately 3.5 million Finns at the end of the year. This means that the population coverage almost doubled within a space of a year. DNA’s mobile subscription achieved the highest average mobile download speed measured by Omnitele8) in twelve cities in the Helsinki metropolitan area, the Turku region, and the Tampere region in October– November 2021.

Due to the long-running exceptional circumstances and our responsibility for critical functions in the society, we have developed our own operations further, which is also reflected in our financial success. However, the positive development we have experienced during the exceptional circumstances is not limited to our key figures – we also run our business in a more responsible way, have enhanced our customer experience and are an even more flexible employer. A business cannot succeed without its personnel; individuals who have the skills, motivation, and ability to create value for customers. With skilled personnel, we can maintain our high level of customer satisfaction now and in the future, which will have a positive impact on our sales, total revenues, and operating result.

With the emergence of the new COVID-19 variant towards the end of 2021, most of our personnel went back to full remote working mode. While this is an unfortunate situation, year 2022 marks the 10-year anniversary of the introduction of DNA’s flexible method of working. With such long-running experience in remote working, DNA is well placed to run its business as usual during these exceptional circumstances. Furthermore, we want to demonstrate that a flexible working method makes sense also during more normal times. At DNA, employees will be able to choose freely where and how they will work – now and in the future.

Christoffer von Schantz (MSc. Tech), who is currently Senior Vice President, Strategy and a member of DNA’s Executive Team, has been appointed Vice President of DNA’s broadband and TV business starting from 22 November 2021. He will leave the Executive Team by the end of the year.

Christoffer von Schantz has been DNA’s SVP, Strategy since 2013. In his new position as the VP, broadband and TV business, he will report to Pekka Väisänen, SVP, Consumer Business.

The search for a new SVP, Strategy will begin immediately.

Jussi Tolvanen, M.Sc. (Econ), has been appointed CEO of DNA Plc. The company’s current CEO Jukka Leinonen will move to head fulltime Telenor Group's Nordic Cluster.

Jussi Tolvanen (b. 1978) will start in his new position as DNA’s CEO on 11 October. He currently works as Managing Director at Microsoft Oy. Prior to his current position, he has worked, among other things, as CEO at Avanade Finland and in various management positions at Fujitsu and Hewlett-Packard.

In the same connection, DNA’s current CEO Jukka Leinonen will move to head fulltime Telenor Group’s Nordic Cluster. He will simultaneously become Chairman of DNA’s Board of Directors as part of his role as EVP Head of Nordics at Telenor.

“It’s truly great to have Jussi continue my work as CEO of DNA. His approach to business is extremely customer- and human-oriented, which fits perfectly into DNA’s mindset and culture. Key figures

The calculation method of the key figures presented in this table differs from that of DNA’s previous key figures. The figures in this table are presented the same way as the figures published by DNA’s parent company Telenor ASA. The main changes concern the reclassification of spectrum acquisitions from intangible assets to right-of-use assets and the corresponding reclassification of spectrum licence liabilities from non-interest-bearing to interest-bearing borrowings, which has an impact on the presentation of net debt and cash flows. In addition, some receivables have been reclassified from non-current to current liabilities. Figures for the reference periods have been adjusted accordingly.

CEO’s review

DNA’s business developed positively across the board in the first half of 2021. Our total revenues grew 4% and amounted to EUR 476 million (457). Mobile revenues also grew 2% and amounted to EUR 281 million (275). DNA’s EBITDA developed well in the first six months of the year and increased 13% to EUR 183 million (162), while our operating result increased 6% to EUR 81 million (76).

Our mobile communication subscription base increased by 19,000 from the reference period, despite the decrease in the number of prepaid subscriptions. The number of contract subscriptions increased by 21,000 from the reference period. At the same time, our average revenue per user (ARPU) increased 1% and was EUR 17.0 (16.8). The number of fixed subscriptions was up by 19,000, in particular due to the increase of 32,000 broadband subscriptions.

During the eighteen months of the corona pandemic, we at DNA have seen a significant acceleration in the growth of data traffic. The same is happening all over the world; according to the report published by the international research company Tefficient7), global mobile data traffic grew 38% in 2020. As per the same report, at 34.8 gigabytes per month, DNA’s customers had the highest mobile data usage per subscription in Europe in 2020. During the January–June 2021 period, mobile data usage reached approximately 39.8 gigabytes per month.

The exponential growth in mobile data volumes demonstrates the clear need for new 5G technologies. It would be difficult to meet the needs of growing demand with 4G networks alone, whereas the use of 5G networks allows us to multiply the capacity of our mobile network. DNA’s 5G network construction has progressed rapidly, and our 5G network reached close to 2.4 million people, or 43% of the population, at the end of June. The sales of 5G subscriptions continued briskly, and two thirds of the phones in DNA’s TOP 15 list of most popular phones in were 5G models in June.

At the end of the first half of 2021, more than 95% of DNA’s personnel continued to work remotely. DNA announced on 14 June that they do not need to return to the office, and few intend to do so. According to personnel surveys, approximately 70% of the personnel expect to work at the office only one or two days a week in the future. Most of DNA's personnel have performed their work well and efficiently during continuous remote working.

Vilhelmiina Wahlbeck, SVP, Communications, Sustainability and Brand Development at DNA, has been appointed as member of DNA's Executive Team.

Vilhelmiina Wahlbeck, 44, has worked in the telecommunications industry for most of her career, first in Telia's Finnish subsidiary, then as Head of Communications at DNA's previous parent company Finnet Oy and since 2007 as VP, Corporate Communications at the current DNA Group. Since 2016, she has also been responsible for DNA's corporate responsibility, and since the beginning of this year, her job description expanded to include DNA’s brand development. Vilhelmiina Wahlbeck holds a master's degree in political science. She reports to DNA’s CEO.

"Both corporate responsibility and brands that stand out are becoming increasingly important in business, and they are increasingly interconnected with communications as well. Vilhelmiina and her team have successfully developed our operations in this area. Ville Virtanen, BEng, EMBA, has been named DNA Plc’s Chief Technology Officer (CTO) and a member of the Executive Team.

Ville Virtanen, 45, will start in his new position on 1 September 2021. He is taking up the post after acting as the VP of DNA’s Core and IP Networks department. Virtanen has been at DNA since 2003 and has been broadly responsible for the services of DNA’s mobile and fixed networks, as well as its business-critical service platforms. Before joining DNA, Ville held a number of positions related to the development of networks and IT services at Telia.

In his new role, Virtanen will be responsible for DNA’s various network technologies and their development. He reports to the CEO of DNA. Virtanen succeeds Tommy Olenius, who will be continuing in the position until the end of August.

“Over the years, Ville has proven his abilities in various roles in the Technology unit. He has wide-ranging expertise in network technologies and how best to develop them in the future to allow us to continue serving our customers in the best possible way,” says DNA’s CEO Jukka Leinonen.

DNA Plc's Annual General Meeting was held in Helsinki on 26 March 2021.

The Annual General Meeting (AGM) adopted the consolidated financial statements and parent company financial statements for the financial year 1 January – 31 December 2020. It was noted that the Board of Directors had proposed to the Annual General Meeting that the company pays no dividend for the financial year 2020 and that the net profit for 2020 is allocated to retained earnings. The AGM decided to approve the proposal concerning the use of distributable funds shown on the balance sheet. The AGM also decided to discharge the Members of the Board of Directors and the CEO from liability for the financial year 1 January – 31 December 2020.

It was decided that the number of the Members of the Board of Directors will be six. The AGM decided to elect Sigve Brekke as the Chair of the Board of Directors and the following people as Members of the Board of Directors: Birgitte Engebretsen, Gaute Simen Gravir, Nils Katla, Håvard Naustdal and Trine Rønningen. The members of the board are independent of the company but non-independent of Telenor Group. The Board Members who are not independent of Telenor Group shall not be paid remuneration.

On 17 March 2021, DNA announced that the company's CEO Jukka Leinonen moves to head Telenor Group’s Nordic Cluster fulltime in the autumn 2021. When the new CEO of DNA takes office, Jukka Leinonen will take the position as DNA’s Chair of the Board of Directors.

The AGM decided to elect Authorised Public Accountants Ernst & Young as the company’s auditor. APA Terhi Mäkinen will act as the principal auditor.

DNA's CEO Jukka Leinonen moves to head fulltime Telenor Group’s Nordic Cluster in the autumn 2021 and continues as an EVP and a member of Telenor’s Group Executive Management. He will also continue in his role as the chair of Telenor Sweden, Telenor Denmark and Telenor Connexion.

Search for the new CEO of DNA will start as soon as possible and after new CEO of DNA will start Jukka Leinonen will also take the position as chair of DNA. He will report directly to Sigve Brekke, the President & CEO of Telenor Group.

"Jukka Leinonen has been successfully heading our Nordic Cluster since 2019 and developing the co-operation of its business units enabling synergies, driving growth and creating value for the customers across the region. We have now agreed to accelerate Nordic co-operation even further and I have asked Jukka to continue leading that work fulltime", says Sigve Brekke, President & CEO, Telenor Group.

Leinonen has worked at DNA since 2010. He joined DNA as Senior Vice President, Corporate Business and was appointed CEO of DNA in 2013. Before that he held various senior management positions in corporate business sales, marketing and product management at TeliaSonera.

CEO’s review

DNA's business operations developed steadily throughout 2020. Although total revenues decreased by 1% year-on-year to EUR 934 million (946), our mobile revenue increased by 3% to EUR 552 million (536). The decrease in total revenue was mainly due to the sale of the terrestrial network pay-TV at the turn of the year and a decrease in sales of devices throughout the year due to government measures against the COVID-19 pandemic. DNA’s comparable EBITDA developed strongly in 2020, reflecting growth from both business segments. Comparable EBITDA grew by 7% year-on-year to EUR 333 million (310) and amounted to 36% of total revenues.

The total number of mobile subscriptions fell by 2,000 year-on-year due exclusively to a decrease in the number of prepaid subscriptions. Our postpaid subscription base increased by 9,000. At the same time, revenue per user (ARPU) increased by 3% year-on-year to EUR 16.8 (16.3).

During the pandemic year, DNA’s role in enabling fast and secure connections has been more essential than ever. Due to the need for social distancing, the use of video-based services increased significantly. This was reflected in the enormous increase in data volumes and a greater need for high-speed connections. A report9) released last September by international research company Tefficient shows that, once again, DNA’s customers use the most mobile data per subscription in the entire world. In addition, in a recent report10) by Omnitele Oy, a DNA subscription achieved the highest average data transfer speed in the direction of incoming traffic. The measurements were carried out in November and December in the ten largest cities in Finland.

The increased need for high-quality digital communications was also reflected in DNA’s sales of devices this year. Sales of 5G phones grew significantly and already accounted for nearly 50% of all sold phones in December. Sales of smartwatches doubled, and sales of both laptops and desktop computers increased from 2019. Installations of DNA’s 5G Fixed Wireless Access service have also continued, and feedback from customers has been positive.

DNA’s operative capital expenditure increased by 22% in January–December and amounted to EUR 171 million (140). The most significant individual capital expenditures consisted of radio network capacity expansion and development, the development of 5G readiness and fibre optic networks and transmission systems. Construction of the 5G network has progressed on schedule and by the end of the year, the network covered 1.8 million people, nearly one in every three people in Finland. Construction of the network is ongoing with dozens of base stations opened every week across Finland. As of early 2021, construction is proceeding by expanding coverage in large cities and by bringing 5G services to a large number of new cities and towns. Construction will also be focused on different parts of Finland based on current mobile data traffic capacity needs.

In October, it was also announced that Finnish Shared Network Ltd, a company jointly owned by DNA Plc and Telia Finland Oyj, will begin building a new 5G network in northern and eastern Finland in cooperation with Nokia. The three-year construction project will be launched in early 2021.

At the end 2020, more than 95% of DNA’s personnel continued to work from home. Our regular personnel surveys found that employees were able to work effectively from home throughout the year.

M.Sc. (Econ) Maria Strömberg (b. 1968) has been appointed as CFO and   member of the Executive Team of DNA Plc.

Maria Strömberg will start in her new role on 1 February 2021. She will take up the position within DNA, where she has worked as head of the accounting department. Strömberg spent the majority of her career in the telecommunications industry and has worked at DNA continuously since 2007.

In her role, Strömberg will be responsible for DNA's accounting, invoicing, credit management, procurement and logistics, as well as administration and security. She reports to the CEO and works closely with DNA's parent company Telenor. Strömberg will succeed Timo Karppinen, who will continue in his position as CFO until the end of January 2021.

January–June 2020

  • Total revenue decreased 1% and came to EUR 459 million (463).
  • Mobile revenue grew 5% and amounted to EUR 270 million (258).

CEO’s review

As the first half of 2020 closed, there circumstances in Finland improved. It looks like we have passed the peak of the first wave of the coronavirus, and the government has eased restrictions significantly. While the situation seems under control in Finland, the pandemic is worsening worldwide. Under such exceptional circumstances, it is difficult to foresee the outlook for DNA’s operating environment and market. The pandemic may slow down the economic growth in Finland too, which can have a negative impact on the demand for DNA’s services.

The effect of the crisis was apparent at DNA since March in areas such as higher volume of customer service, a slowdown in mobile device sales at DNA stores and a significant increase of data volumes in DNA’s network. Communication networks gain importance under exceptional circumstances. DNA’s network capacity was perfectly capable of managing the increase in data volumes, and we have maintained and built our 5G and 4G network infrastructure continuously. To safeguard operational reliability, our network management is decentralized, and we will continue this approach. At the end of the second quarter, more than 95% of DNA’s personnel continued to work remotely. We continue to follow the development of the pandemic closely and will make decisions on appropriate action based on current situation. According to our personnel survey, remote working has gone smoothly.

Despite the challenging market situation and the exceptional circumstances, DNA mostly fared well in the first half of 2020. Total revenues for the January-June period fell slightly from the reporting period and amounted to EUR 459 million (463). The decrease was mainly due to the sale of the terrestrial pay-TV business and a slowdown in mobile device sales. Nevertheless, DNA’s EBITDA developed positively in the first half of the year, growing 5% to EUR 162 million (154). Operating result also increased 8% in January-June and was EUR 76 million (71). The favourable development was due to increased mobile revenue and improved operational efficiency.

Our mobile communication subscription base decreased by 22,000 in the January-June period from the reference period. This was due to a decrease in prepaid subscriptions as our postpaid subscription base increased by 7,000.  Revenue per user (ARPU) for mobile communications increased 5% year-on-year and was EUR 16.8 (16.0). Our fixed-network subscription base shrank by 13,000, but the number of broadband subscriptions grew by 33,000.

The active construction of DNA’s 5G network has continued around Finland. During the first half of 2020, DNA’s 5G services have been made available in more than 20 residential areas. We will continue to improve the capacity of our 4G network parallel to the 5G investments. In June, DNA won the 26 GHz range it was pursuing in the 5G spectrum auction. The new frequency band enables the transfer of higher volumes of data with low latency.

The sales of 5G subscriptions are off to a promising start and mobile device manufacturers have launched several new 5G models during the second quarter. More models are expected to be introduced to lower price points as the year progresses, and demand for subscriptions is expected to pick up once these are available. Installations of DNA’s 5G Fixed Wireless Access service have also started, and feedback from customers has been positive. The benefits of 5G and its positive impact on customer experience will become more evident as our customers use increasingly rich content, higher resolution videos, and services such as online gaming, where low latency is critical.
